1. Introduction and Acceptance

Welcome to Assemblea ("the Platform"). By accessing or using our services, you agree to comply with these Terms and Conditions ("the Terms"). If you represent a legal entity, you declare that you have the authority to bind that entity to these Terms.

2. Account and Data Security

You are responsible for maintaining the confidentiality of your account credentials. Any action performed through your account is considered to be authorized by you.

• You must use two-factor authentication (2FA) for administrator accounts.
• You are required to immediately notify Assemblea in the event of a suspected security breach.
• Shareholder data uploaded to the platform remains your property, with Assemblea acting as a data processor.

3. User Responsibility

The user is responsible for the accuracy of data entered into the platform, including but not limited to:

• shareholder structure,
• number of shares,
• voting rights,
• uploaded documents,
• configuration of quorum and majority rules.

Assemblea cannot be held liable for decisions made based on incorrect or incomplete data provided by the user.

4. Limitation of Liability

To the maximum extent permitted by applicable law, Assemblea will not be liable for indirect, incidental or punitive damages resulting from the use of the service.

While we aim for 99.9% uptime, we cannot be held liable for interruptions caused by internet or infrastructure providers (e.g. AWS, Azure) in cases of force majeure.

Offline votes are recorded in the platform based on documents provided by the user. Assemblea does not verify the authenticity of uploaded documents and assumes no responsibility for their content.

5. Applicable Law

These Terms are governed by and interpreted in accordance with the laws of Romania. Any dispute arising from these terms will be resolved exclusively by the competent courts in Bucharest.

6. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these terms. It is prohibited to:

• Violate any local, national or international laws,
• Transmit illegal, offensive or harmful content,
• Interfere with the normal operation of the platform,
• Use other users' information without permission.

7. Personal Data Protection

We are committed to protecting your personal data in accordance with GDPR legislation. The information collected will be used exclusively for:

• Providing and improving our services,
• Communicating with you about your account and services,
• Fulfilling legal obligations.
